Terms of Service
Last updated: October 24, 2026
Important notice concerning dispute resolution. Section 12 contains a binding arbitration agreement and waivers of class proceedings and jury trial for disputes subject to arbitration. Unless you opt out within 30 days, most disputes must be resolved individually through the American Arbitration Association. Sections 7, 8, and 10 also contain a release of claims, indemnification obligations, and limitations of liability. Please review these provisions carefully.
1. Agreement, scope, and eligibility
These Terms of Service ("Terms") constitute an agreement between you and Steven Mirabito, an individual operating Hopwise as a sole proprietor in San Francisco, California ("Hopwise," "we," "us," or "our"). These Terms govern your access to and use of the Hopwise mobile application (the "Application") and the Hopwise website at hopwise.co (the "Website"), collectively the "Service."
By affirmatively accepting these Terms, or accessing or using the Service after being provided notice of these Terms and an opportunity to review them, you agree to be bound by them. If you do not agree, you must not access or use the Service. You must be at least 18 years of age, located in the United States, and legally capable of entering into this agreement. If you accept these Terms on behalf of an entity, you represent that you are authorized to bind that entity.
Our Privacy Policy describes our collection, use, and disclosure of information in connection with the Service. Acceptance of these Terms does not replace any separate consent required by applicable privacy law.
2. Beta service and distribution
The Application is currently offered without charge as a private, invitation-only beta through Apple TestFlight. TestFlight builds may expire, and continued access may require installation of an updated build. Your use of TestFlight is also subject to your applicable agreements with Apple. These Terms supplement those agreements and do not amend them or create obligations for Apple.
The Service includes pre-release software and may contain errors, incomplete features, or incompatibilities. Quotes may be inaccurate or unavailable, provider connections may cease to function, and locally stored information may be lost following an update or other change. We may modify, suspend, or discontinue the Service or any feature, including the beta program, at any time, subject to applicable law. We do not undertake to provide any particular level of availability, maintenance, or support.
3. Third-party providers and account authorization
The Service compares information from Uber, Lyft, Waymo, and Tesla Robotaxi (the "Third-Party Providers"). Hopwise is independent of, and is not affiliated with, sponsored by, or endorsed by, any Third-Party Provider or Google. Third-party names and marks identify their respective services and remain the property of their owners.
By linking a provider account, you authorize the Application to authenticate to that account, request ride quotes, and retrieve relevant recent ride history on your behalf to provide the features you use. This authorization continues until you disconnect the account or otherwise revoke access. You may link only accounts you own and are authorized to access. You are responsible for the security of your device and provider accounts and for compliance with the applicable provider terms and policies.
The Application communicates directly with provider interfaces using credentials and authentication tokens stored on your device. Waymo authentication uses your Google account. Credentials are stored using secure storage provided by your device's operating system and transmitted to the relevant provider or authentication service as described in the Privacy Policy.
A provider may change its interfaces, restrict automated access, require reauthentication, or suspend or terminate an account. Hopwise does not guarantee that any integration will remain available. Your authorization to Hopwise does not override a provider's terms or grant permission on the provider's behalf. You may disconnect an account in Settings › Accounts and use the provider's own account controls where available.
4. Quotes, estimated savings, and transportation
Prices, availability, service classifications, pickup estimates, and trip estimates are provided for informational purposes and may change without notice. A displayed quote may differ from the price shown in a provider's application or the final fare. Third-Party Providers determine and collect all fares, fees, and other charges. You are responsible for reviewing the provider's terms and final price before booking.
Savings are estimates derived from quotes available within the same service class at the time of handoff. Where the selected option is strictly less expensive than the other comparable options, the recorded savings reflect the difference from the next-lowest comparable quote. A tie or absence of comparable options does not generate savings. Classifications may not reflect equivalent vehicles or service features, and comparisons do not cover every provider or offer in the market. Savings are not a guarantee of actual expenditure or of a fare you would otherwise have paid. A subsequently retrieved final fare does not change the original quote-based savings calculation.
Hopwise does not provide transportation, accept ride bookings, dispatch vehicles, process ride payments, or insure rides. Selecting an option opens the provider's application or website, where you must complete any booking; ride details may not transfer for every provider. Transportation, payment, cancellations, refunds, safety, and provider account decisions are matters between you and the applicable provider, subject to its terms.
5. License and restrictions
Subject to your compliance with these Terms and any applicable invitation requirements, we grant you a limited, non-exclusive, personal, revocable, non-transferable, and non-sublicensable license to access the Website and use the Application for your own lawful, non-commercial purposes on compatible devices you own or control, subject to applicable platform and distribution-service usage rules. The Service is licensed, not sold. Except for this express license and rights provided by applicable third-party licenses, no intellectual property rights are transferred to you.
You must not:
- access another person's account, misrepresent your identity or authority, or disclose another person's credentials;
- violate applicable law or provider terms, or circumvent access restrictions, rate limits, security measures, or other safeguards;
- interfere with, overload, damage, or disrupt the Service or any third-party system, introduce malicious code, or attempt unauthorized access;
- sell, rent, sublicense, redistribute, or commercially exploit the Service, or share a beta build or invitation without authorization;
- copy, modify, create derivative works of, reverse engineer, decompile, or attempt to derive source code from the Service, except to the extent a restriction is prohibited by law or an applicable third-party license permits the activity;
- scrape or systematically extract information from the Service, extract application credentials for another use, or remove copyright, trademark, or other proprietary notices; or
- use the Application while driving or in circumstances in which its use would be unsafe.
6. Information, ownership, and feedback
The Application stores account credentials, saved places, and ride history locally and transmits information to providers and service providers as described in the Privacy Policy. We may process diagnostics and usage information to operate and improve the Service and use reduced-detail pricing information to analyze prices and estimated savings. We may create and publish aggregate statistics subject to the safeguards described in that policy. These Terms do not transfer to us any ownership rights you hold in information you provide or authorize uses inconsistent with the Privacy Policy.
We and our licensors retain all rights in the Service, including its software, design, content, and branding, except third-party materials owned by their respective owners. All rights not expressly granted are reserved. Applicable third-party and open-source licenses continue to govern their respective materials.
If you voluntarily provide suggestions, ideas, or other feedback about the Service, you grant us a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and otherwise incorporate that feedback into our products and services, with the right to sublicense those uses, without compensation or attribution. You must have the rights necessary to provide the feedback and must not submit material you are obligated to keep confidential. Personal information included in feedback remains subject to the Privacy Policy.
7. Third-party services and release of claims
The Service may link to or interact with third-party applications, websites, content, and services. We do not control those services or guarantee their accuracy, availability, security, or conduct. Your use of them is subject to their own agreements and privacy policies. A link or integration does not constitute an endorsement.
To the maximum extent permitted by law, you release Steven Mirabito and our employees, contractors, agents, successors, and permitted assigns (collectively, the "Hopwise Parties") from claims, demands, liabilities, damages, and expenses, whether known or unknown, arising out of or relating to your use of the Service, including your dealings with Third-Party Providers or other third parties accessed through the Service. This includes claims concerning transportation, fares, cancellations, account restrictions, personal injury, death, or property damage, but only to the extent such claims may lawfully be released.
This release extends to claims concerning events occurring before or after your acceptance of these Terms to the extent permitted by law. It does not release a Hopwise Party from liability for its own fraud, willful misconduct, gross negligence, violation of law, or any other liability or statutory right that cannot lawfully be released. It does not release claims based on our own breach of these Terms.
California unknown-claims waiver. To the extent permitted by law and solely with respect to claims covered by the foregoing release, you expressly waive the protections of California Civil Code Section 1542 and any similar law. Section 1542 provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
8. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold the Hopwise Parties harmless from third-party claims and resulting liabilities, damages, judgments, and reasonable expenses, including reasonable attorneys' fees, arising from your use or misuse of the Service, breach of these Terms, violation of applicable law, or infringement or violation of a third party's rights. This obligation does not apply to the extent a claim results from a Hopwise Party's own negligence, fraud, willful misconduct, or violation of law, or to the extent indemnification is otherwise prohibited.
We will notify you reasonably promptly of a claim for which we seek indemnification; a delay will reduce your obligations only to the extent it materially prejudices your defense. We may assume control of the defense with counsel reasonably acceptable to you, at your expense to the extent the claim is subject to indemnification. You agree to provide reasonable cooperation. Neither party may settle a claim in a manner that admits fault or imposes an obligation on the other without that party's prior written consent, which will not be unreasonably withheld.
9. Disclaimer of warranties
To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available." The Hopwise Parties disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, error-free, or compatible with every device; that any defect will be corrected; or that quotes, savings, ride matching, or third-party information will be accurate or complete. We do not warrant continued access to any provider account or integration. You are responsible for maintaining appropriate device security and backups. If applicable law provides a warranty that cannot be excluded, that warranty remains in effect to the extent required by law.
10. Limitation of liability
To the maximum extent permitted by law, the Hopwise Parties will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or loss of profits, revenue, anticipated savings, business opportunities, or data, arising from these Terms or the use of or inability to use the Service, regardless of the legal theory and even if advised that such loss was possible.
To the maximum extent permitted by law, the total aggregate liability of all Hopwise Parties for all claims arising out of or relating to these Terms or the Service will not exceed fifty United States dollars (US $50). Multiple claims or events do not increase this aggregate limit.
These limitations apply to the extent permitted in your jurisdiction. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, violations of law, or any other liability that applicable law prohibits us from excluding or limiting. Nonwaivable consumer rights and remedies remain available.
11. Term and termination
These Terms apply while you access or use the Service. You may stop using it at any time. To remove provider credentials and local information, disconnect your accounts before deleting the Application and follow the instructions in the Privacy Policy. Deletion of the Application does not itself delete information already transmitted to a service provider and, depending on your operating system, may not remove all credentials held in secure device storage.
Subject to applicable law, we may suspend or terminate access or revoke a beta invitation for breach of these Terms, security concerns, legal requirements, or discontinuation of the Service, and may otherwise end the beta or your participation at our discretion. Notice may not be practicable in every case. Upon termination, your license ends and you must cease using the Application. Sections 4 and 6 through 16 survive to the extent necessary to give effect to their provisions, together with restrictions on use of our intellectual property. Termination does not affect accrued rights or statutory obligations.
12. Binding arbitration and dispute resolution
Please read this section carefully. Except for the exceptions below and a timely opt-out, you and Hopwise agree to resolve covered disputes by individual binding arbitration rather than a court trial or class proceeding.
12.1. Covered disputes and exceptions
You and the Hopwise Parties agree to arbitrate any dispute or claim arising out of or relating to the Service, these Terms, or our relationship, including contract, tort, and statutory claims (a "Dispute"). This agreement applies to Disputes arising before or after acceptance, to the extent permitted by law, but does not supersede a valid prior arbitration opt-out or require arbitration of a court action already pending when you first accept this section. The Federal Arbitration Act, 9 U.S.C. § 1 et seq. ("FAA"), governs interpretation and enforcement of this arbitration agreement.
Either party may bring an individual claim within the jurisdiction of a small-claims court and exercise the small-claims options provided by the applicable AAA rules. Either party may seek injunctive or other equitable relief in court for infringement or misuse of intellectual property. Neither party is required to arbitrate a claim that applicable law makes nonarbitrable. You may report concerns to government agencies or exercise rights to participate in agency proceedings.
12.2. Notice and informal resolution
Before commencing arbitration, the initiating party must send a written notice describing the Dispute, the relevant facts, the requested relief, and contact information. Send notices to Hopwise at support@hopwise.co. We will send notices to an email address you have provided or another contact method reasonably available to us. No provider password or authentication token is required.
The parties will attempt in good faith to resolve the Dispute for 60 days after receipt of the notice. During that period, either party may request an individual telephone or video conference; the parties will cooperate to arrange it within 45 days of the notice or another mutually agreed period. You and a Hopwise representative will participate, and either may be accompanied by counsel. Conferences for separate claimants will not be combined without all affected parties' agreement.
Applicable limitation periods and filing deadlines are tolled during this informal process to the extent permitted by law. A party may commence arbitration when the 60-day period expires, and the other party's failure to respond or participate does not prevent filing. This process does not restrict access to small-claims court, government agencies, or urgent relief otherwise permitted by Section 12.1.
12.3. Administrator, rules, and hearing
Arbitration will be administered by the American Arbitration Association ("AAA") before one neutral arbitrator under its Consumer Arbitration Rules and applicable consumer fee schedule, including its Consumer Due Process Protocol, in effect when the arbitration is filed. A demand must be filed with AAA and provided to the other party as required by those rules. AAA rules and filing instructions are available at adr.org. The applicable consumer protections control over any inconsistent procedural provision in these Terms.
The parties may agree to remote participation or a decision based on documents where permitted by the rules. Any required in-person hearing will take place in the county where you reside unless you and Hopwise agree to another convenient location. The arbitrator will permit an appropriate exchange of relevant information and issue a reasoned written award. Available individual remedies under applicable law remain available in arbitration. A court with jurisdiction may enter judgment on the award, subject to the limited review permitted by the FAA.
12.4. Fees and costs
You will not be required to pay more in AAA administrative filing fees than the consumer amount required under the applicable fee schedule, currently $225 for an ordinary individual consumer filing. Fee waivers and any lower amount required by law remain available. We will pay the administrative and arbitrator fees allocated to the business under the applicable rules, including any amount necessary to make arbitration accessible as required by law. If we initiate an arbitration against you, we will pay the filing and arbitrator fees required of the business. Fee allocations for qualifying mass arbitrations follow Section 12.6 and applicable consumer protections.
Each party is responsible for its own attorneys' fees and other expenses unless applicable law authorizes an award. These Terms do not create a prevailing-party fee entitlement against a consumer or require reimbursement of our arbitration costs merely because you do not prevail.
12.5. Jury-trial and class-action waivers
For Disputes required to be arbitrated, you and Hopwise waive trial before a judge or jury and agree to an arbitrator's decision instead. Arbitration generally involves more limited discovery and judicial review than litigation. This waiver does not apply to claims properly proceeding in court under an exception to this arbitration agreement.
To the extent permitted by law, covered Disputes must proceed on an individual basis. You and Hopwise waive participation as a class representative or class member in a class, collective, consolidated, or representative proceeding concerning a covered Dispute. An arbitrator may not conduct class arbitration or combine the merits of separate individuals' claims without the written agreement of all affected parties. Administrative coordination under Section 12.6 is permitted and does not authorize class arbitration.
This section does not waive any nonwaivable right to seek public injunctive relief. If applicable law requires a claim or request for relief to proceed in court, that claim or request will be severed and may proceed there; any remaining arbitrable claims remain subject to arbitration.
12.6. Coordinated and mass filings
If AAA determines that multiple individual demands qualify for its Mass Arbitration Supplementary Rules, those rules and the applicable consumer mass-arbitration fee schedule apply. The parties will cooperate in administration consistent with those rules and applicable law. No provision of these Terms imposes a separate mandatory bellwether process, delays an individual's claim beyond what the applicable rules permit, or limits nonwaivable remedies.
12.7. Authority, confidentiality, and severability
Except for matters reserved to AAA under its rules, a court will decide whether an arbitration agreement was formed, whether a timely opt-out occurred, and disputes concerning the validity or enforceability of the class-action waiver or the availability of public injunctive relief. The arbitrator will decide other questions of interpretation, scope, and enforceability to the extent permitted by law. The parties will protect confidential information exchanged in arbitration, subject to disclosures reasonably needed for legal advice, enforcement, legal obligations, government reporting, or other legally protected activity.
If AAA is unavailable for a reason unrelated to our failure to comply with its rules or pay required fees, the parties may agree on an alternative administrator that provides equivalent consumer protections. If no agreement is reached, either party may ask a court to appoint an arbitrator under the FAA or determine whether the Dispute should proceed in court. If AAA declines or ceases administration because of our noncompliance, you may seek relief in court as permitted by its rules and applicable law. An unenforceable provision will be severed to the extent possible; no severance permits class arbitration without both parties' consent.
12.8. Thirty-day right to opt out
You may opt out of this arbitration agreement and the associated class-action and jury-trial waivers by emailing support@hopwise.co within 30 days after you first accept Terms containing this arbitration agreement. State your name, a contact email address, and that you wish to opt out of arbitration with Hopwise. No mailing address, provider account, or installation identifier is required. A timely opt-out will not affect your access to the Service or the remaining Terms. Neither you nor Hopwise will be bound to arbitrate under this section if you validly opt out.
12.9. Changes and survival
We will provide notice of a material change to this arbitration agreement. You may reject that change by emailing support@hopwise.co within 30 days after receiving notice, identifying the change you reject. The previously accepted arbitration agreement will then continue to apply, including any valid opt-out. Changes do not apply retroactively to Disputes of which either party has already given notice. This section survives termination of the Service or these Terms.
13. Governing law and courts
Except for the FAA's application to arbitration, California law governs these Terms without regard to conflict-of-law principles, subject to nonwaivable protections applicable to you. For proceedings permitted in court, you and Hopwise consent to the state and federal courts located in San Francisco County, California, except that an eligible small-claims action may be brought in a court with jurisdiction convenient to you and any nonwaivable venue rights remain in effect.
14. Changes to these Terms
We may revise these Terms to reflect changes in the Service, our operations, or legal requirements. We will update the date above. For material changes, we will provide reasonable advance notice through the Application, TestFlight release notes, the Website, or email where available, identifying when the changes take effect. Where required, we will obtain renewed acceptance. Changes apply prospectively, subject to Section 12.9. If you do not agree to revised Terms, discontinue use before they take effect. Continued use after appropriate notice and the effective date constitutes acceptance to the extent permitted by law.
15. General provisions
Entire agreement. These Terms constitute the entire agreement between you and Hopwise concerning the Service and supersede prior agreements on that subject, subject to valid arbitration opt-outs and applicable third-party license terms. The Privacy Policy continues to govern our information practices.
Severability and waiver. Except as otherwise provided in Section 12, an invalid or unenforceable provision will be enforced only to the extent lawful or severed, and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver of the right to enforce it later. A waiver must be in writing.
Assignment and relationship. You may not assign these Terms or the license without our prior written consent, except as required by law. We may assign these Terms in connection with a transfer of the Service, subject to applicable law and the Privacy Policy. No partnership, employment, joint venture, or general agency relationship is created. The limited authorization in Section 3 is solely for the stated account-access functions. The Hopwise Parties are intended beneficiaries of provisions expressly protecting them; otherwise these Terms do not create third-party beneficiary rights.
Electronic communications. You consent to receive contractual notices electronically through the Service, TestFlight, or an email address you provide. Except where applicable law requires another method, notices to Hopwise under these Terms must be sent to support@hopwise.co. This provision does not replace legally required procedures for formal service of court documents or waive nonwaivable notice rights.
Export compliance. You must comply with applicable United States export-control and sanctions laws and may not use or transfer the Application in violation of those laws.
16. Contact
